NSE IPO is a 100% offer for sale: what the draft documents actually show
NSE has filed draft offer documents for a public listing, but this is not a fresh-capital raise. Here is the verified offer structure, the shareholders selling, and every major term that is still blank.

Evidence frame
This explainer reads NSE's draft abridged prospectus, the issuer's offer-document page and SEBI's public-issue filing record together. It uses the offer's stated maximum share count, but does not estimate valuation, proceeds or dates that remain blank in the draft documents. A malformed share count appearing in a secondary news summary has not been repeated.
What happened
- National Stock Exchange of India Limited filed draft public-offer documents dated June 17, 2026. SEBI's public-issues portal recorded the DRHP, abridged prospectus and addendum on June 18, while NSE's investor-relations page continues to make the offer-document set available.
- The draft abridged prospectus classifies the transaction entirely as an offer for sale. Its fresh-issue field says 'Not applicable', while the OFS covers up to 148,905,525 existing equity shares with a face value of ₹1 each. In plain language, the draft does not propose that NSE issue new shares to raise primary capital.
- The rupee value of the offer is still shown as a blank placeholder. The anchor-investor period, bid opening date and bid closing date are also blank. The filing therefore establishes the proposed structure and maximum number of shares, but it is not yet a priced or dated offer.
Key facts
- The maximum OFS is 148,905,525 shares. That is the verified number in the draft abridged prospectus; it is not 148,90,5525, the malformed figure that has appeared in a secondary summary.
- State Bank of India is the largest of the ten selling shareholders highlighted on the cover, offering up to 24,750,000 shares. MS Strategic (Mauritius) Limited follows with up to 16,000,000 shares.
- Other top-ten sellers include Canada Pension Plan Investment Board, Aranda Investments (Mauritius), Bank of Baroda, Stock Holding Corporation of India, General Insurance Corporation of India, The New India Assurance Company, National Insurance Company and United India Insurance Company.
- Bank of Baroda is offering up to 10,986,250 shares, GIC up to 10,658,000 shares and New India Assurance up to 10,500,000 shares. IFCI is not named as a direct seller on the offer-document cover; Stock Holding Corporation of India is the selling shareholder listed there.
- The shares are proposed to be listed on BSE, which the draft names as the designated stock exchange for the offer. NSE also states that it has no identifiable promoter under the cited regulations.
Why it matters
- A fresh issue and an offer for sale move money to different places. In a fresh issue, the company creates shares and receives the issue proceeds before expenses. In this OFS, existing shareholders sell existing shares, so the sale consideration belongs to those sellers rather than becoming fresh capital for NSE.
- That distinction changes how the IPO should be read. The proposed listing can create a public market for NSE's shares, broaden price discovery and give existing holders a route to liquidity, but it does not by itself add cash to fund NSE's technology, clearing infrastructure or expansion plans.
- The draft states that the objects of the offer are to carry out the OFS and obtain the benefits of listing. It says NSE expects listing to enhance visibility and brand image, provide liquidity to shareholders and create a public market for the equity shares in India. Those are issuer statements, not forecasts of post-listing performance.
- The list of sellers also explains why several listed financial institutions move into the news cycle whenever the NSE IPO advances. Their economics depend on the final price and the number of shares ultimately sold. Until the price band and final allocation are published, neither seller proceeds nor any accounting gain can be calculated from the cover-page numbers alone.
- The maximum share count is a ceiling, not a promise that every share will be sold. The final offer may be affected by updated documents, regulatory observations, shareholder decisions and the price-discovery process. Readers should compare the eventual red herring prospectus with this draft instead of treating the DRHP as the final transaction sheet.
- This is also why the IPO should not be described with an assumed valuation today. Multiplying an unverified private-market quote by a share count can create a headline number, but it is not the offer valuation disclosed in the statutory documents. The official draft leaves the price and aggregate rupee amount blank.
What remains unknown
- The floor price, cap price, final offer price and resulting valuation have not been disclosed in the documents checked for this note.
- The aggregate rupee size of the offer and the final proceeds received by each selling shareholder remain unknown because the price and final number of shares sold are not fixed.
- The anchor-investor date, bid opening date, bid closing date, allotment timetable and listing date are not supplied in the draft abridged prospectus.
- The final investor allocation, employee reservation and any changes made through subsequent addenda or the red herring prospectus must be checked when the final-stage documents are filed.
- The draft does not support a prediction of NSE's listing price or of the share-price reaction in SBI, Bank of Baroda, GIC, New India Assurance, IFCI or any other related listed company.
